1. Agreement to Terms
These Terms and Conditions (“Agreement”) govern your access to and use of CRM ADO (“Services”).
By using the Services, you agree to be bound by this Agreement. If you do not agree, you may not use the Services.
2. Platform Nature of Services
CRM ADO is a software application built on top of third-party infrastructure providers, including but not limited to GoHighLevel and other service providers (“Platform Providers”).
Accordingly:
The underlying infrastructure, hosting, and base system functionality are provided by Platform Providers
CRM ADO operates as an application layer built on top of such infrastructure
CRM ADO is responsible for configuration, account management, workflows, and customer-facing services within the platform
3. Eligibility and Account Use
You must be at least 18 years old and capable of entering into a binding agreement to use the Services.
You agree to:
Provide accurate account information
Maintain confidentiality of login credentials
Ensure all users under your account are authorized
Accept responsibility for all account activity
4. Description of Services
CRM ADO provides a cloud-based CRM and business management platform that may include:
Customer relationship management tools
Communication systems (email, SMS, integrations)
Automation and workflow tools
Reporting and analytics
AI-assisted features (where enabled)
Features may vary depending on subscription level.
5. Subscription, Billing, and Payment
Services are provided on a subscription basis
Billing occurs monthly unless otherwise stated
Payments are automatically charged to the payment method on file
All fees are non-refundable unless required by law
Failure to pay may result in suspension or termination
CRM ADO may modify pricing with reasonable prior notice.
6. Cancellation and Termination
You may cancel at any time before your next billing cycle.
We reserve the right to suspend or terminate access for:
Non-payment
Violation of this Agreement
Fraudulent, abusive, or illegal activity
Security or operational risk
Upon termination:
Access to the Services will be disabled
Data handling will follow the Privacy Policy and Data Processing Addendum
7. User Responsibilities and Acceptable Use
You agree not to:
Use the Services for unlawful purposes
Violate applicable laws or regulations
Resell or exploit the Services without authorization
Attempt to reverse engineer or interfere with the platform
Upload malicious code or disrupt system integrity
You are responsible for ensuring lawful use of all data entered into the system.
8. Data Ownership and Processing
All data entered into CRM ADO remains the property of the customer.
CRM ADO:
Does not sell or rent customer data
Processes data solely to provide the Services
Acts as a service provider/data processor where applicable
Data processing is governed by the Privacy Policy and Data Processing Addendum (DPA).
9. Third-Party Platform Dependency
The Services depend on third-party Platform Providers (including GoHighLevel).
Accordingly:
CRM ADO is not responsible for downtime, outages, or failures caused by Platform Providers
Platform Providers may maintain their own terms, policies, and security standards
CRM ADO cannot guarantee continuous availability of underlying infrastructure
10. Privacy and Data Protection
Use of the Services is subject to our Privacy Policy and DPA, which describe:
Data collection and use
Data retention and deletion
Subprocessor usage
Cross-border data transfers
User rights under applicable privacy laws
11. Security
CRM ADO implements administrative and application-level security controls, which may include:
Role-based access control (RBAC)
Multi-factor authentication (MFA)
Encryption in transit and at rest (where supported by infrastructure providers)
Access monitoring and logging
Secure configuration practices
Security of underlying infrastructure is managed by Platform Providers.
12. Artificial Intelligence (AI) Features
Where AI features are available:
AI tools are provided for informational and productivity purposes only
AI outputs may contain inaccuracies and require human review
CRM ADO does not guarantee the accuracy of AI-generated content
Customer data is not used to train third-party AI models without consent
AI processing may be performed by approved third-party providers
13. Service Availability
CRM ADO strives to provide reliable service but does not guarantee uninterrupted access.
Interruptions may occur due to:
Platform Provider outages
Maintenance
Updates or system improvements
External technical factors
14. Intellectual Property
All software, branding, and platform elements provided by CRM ADO remain the property of NaviLexis Solutions LLC or its licensors.
You are granted a limited, non-exclusive, non-transferable license to use the Services during your subscription.
15. Confidentiality
Both parties agree to maintain confidentiality of non-public information shared through the Services.
This includes:
Customer data
Business information
System configurations
Internal communications
Confidentiality obligations survive termination.
16. Disclaimer of Warranties
The Services are provided “as is” and “as available.”
CRM ADO disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
17. Limitation of Liability
To the maximum extent permitted by law:
CRM ADO is not liable for indirect, incidental, or consequential damages
Total liability is limited to fees paid in the past 12 months
CRM ADO is not responsible for data loss caused by user actions or third-party systems
18. Indemnification
You agree to indemnify and hold harmless CRM ADO from claims arising from:
Your use of the Services
Your violation of laws or regulations
Your misuse of customer data
19. Data Retention and Deletion
Upon termination:
Customer data may be deleted or returned upon request
Backup retention may apply for operational or legal purposes
Retention timelines are defined in the Privacy Policy and DPA
20. Governing Law
This Agreement is governed by the laws of the State of Oklahoma, United States.
21. Changes to Terms
We may update these Terms periodically. Continued use of the Services constitutes acceptance of updates.
22. Entire Agreement
These Terms, together with the Privacy Policy and DPA, constitute the full agreement between the parties.
